Terms of Service
Effective September 26, 2026
These Terms of Service (“Terms”) govern your use of Trax, an AI assistant that communicates by text message, and the website at heytrax.com (together, the “Service”). The Service is provided by Caius Elliot Chevalier (“Trax,” “we,” “us”). By signing up, texting the Service, or otherwise using it, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old to use the Service. By using it, you represent that you are 18 or older and able to form a binding contract.
2. The Service
Trax is an automated assistant powered by artificial intelligence. It is not a person. The Service is offered as a beta and may change, be interrupted, or be discontinued at any time, with or without notice.
Plans and billing. Your first text starts a free 14-day trial of Trax Pro. No card is needed, and the trial does not turn into a paid plan on its own. When it ends, you move to the free plan, which includes one linked calendar, reminders, and campus tools, but not web lookups or background research. Trax Pro costs $10 per month, billed by our payment processor, Stripe, and renews each month until you cancel. You can cancel or manage billing at any time at heytrax.com/login. A cancellation takes effect at the end of the current billing period. Texting “delete me” cancels Trax Pro immediately. Prices may change with notice before your next billing period.
Refunds. If you are not happy with Trax Pro, email support@heytrax.com and we will refund up to one month of payments.
Referrals. You may invite up to 5 people every 30 days. For each invited person who finishes setting up Trax, you get a $5 credit toward a future Trax Pro payment. Credits have no cash value, cannot be transferred, and apply only when you pay for Trax Pro. We may withhold credits earned through fake or duplicate accounts.
Inactive accounts. We may pause free and trial accounts that have not texted Trax for 14 days, to make room for new users. We keep your data, and you can come back by signing up again at heytrax.com. We never pause a paid account for inactivity.
Trax is independent and is not affiliated with, endorsed by, or sponsored by Binghamton University, D2L (Brightspace), Apple, Google, or any other school or company named in the Service. All trademarks belong to their respective owners.
3. Text messages
By texting the Service or submitting your phone number, you consent to receive recurring text messages from Trax, including automated messages, reminders, and messages Trax initiates based on your calendar, goals, and requests. Consent is not a condition of any purchase. Message frequency varies. Message and data rates may apply. You can stop messages and end your account at any time by texting “delete me” and confirming. Carriers are not liable for delayed or undelivered messages.
4. Your content and permissions
You keep ownership of the messages, files, links, and other content you send (“Your Content”). You grant us a limited license to host, process, transmit, and use Your Content solely to operate, maintain, secure, and improve the Service for you, as described in the Privacy Policy. You represent that you have the rights to share Your Content, including any calendar links, and that doing so does not violate any law or third party's rights or any agreement with your school.
5. Acceptable use
You agree not to:
- use the Service to violate any law, school policy, or academic integrity rule, including to engage in cheating or plagiarism;
- harass, threaten, or abuse others, or the Service;
- attempt to extract, reverse engineer, or disclose the Service's prompts, models, source code, or internal systems;
- interfere with or disrupt the Service, or access it through automated means we have not authorized;
- submit other people's personal information without their permission; or
- impersonate any person or misrepresent your identity.
We may suspend or terminate your access at any time if we believe you have violated these Terms.
6. No professional advice; accuracy
AI output can be incomplete, inaccurate, or out of date, including information about deadlines, schedules, and opportunities. You are solely responsible for verifying information and for meeting your academic and other obligations. The Service does not provide academic, medical, mental health, legal, financial, or other professional advice. We are not responsible for missed deadlines, assignments, exams, applications, or any decision you make based on the Service. In an emergency, contact local emergency services.
7. Third-party services
The Service relies on and may link to third-party services, including messaging carriers, calendar providers, and websites. We do not control and are not responsible for third-party services, content, or availability, and your use of them is subject to their own terms.
8. Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation, to the fullest extent permitted by law.
9. Limitation of liability
To the fullest extent permitted by law, Trax and its operator will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, grades, opportunities, profits, or goodwill, arising out of or related to the Service, even if advised of the possibility of such damages. Our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or fifty U.S. dollars ($50).
10. Indemnification
You agree to indemnify and hold harmless Trax and its operator from any claims, damages, liabilities, and expenses, including reasonable attorneys' fees, arising out of Your Content, your use of the Service, or your violation of these Terms or any law.
11. Termination
You may stop using the Service at any time by texting “delete me.” We may suspend or terminate the Service or your access at any time, for any reason. Sections 4 through 13 survive termination.
12. Dispute resolution and arbitration
Please read this section carefully. Except for claims that qualify for small claims court, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You and we each waive the right to a jury trial and to participate in a class action, class arbitration, or representative proceeding. You may opt out of this arbitration agreement by sending notice through legal@heytrax.com within 30 days of first using the Service.
13. Governing law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws rules. Subject to Section 12, the state and federal courts located in Middlesex County, Massachusetts have exclusive jurisdiction.
14. Changes
We may update these Terms. If a change is material, we will give notice by text message or on this page before it takes effect. Continued use of the Service after the effective date means you accept the updated Terms.
15. General
These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a transfer of the Service.
